DAB is the prime under MCCS Contract CLM25-K-0001; that contract is between DAB and MCCS only. You may not perform on-base work, solicit service members, or represent yourself as USMC/MCCS-affiliated until DAB confirms in writing that all three steps above are complete. Active-duty service members must obtain outside-employment authorization from their chain of command (DoDI 1344.07) before performing work for DAB.

1. CONTRACTOR SERVICE AGREEMENT & TERMS OF SERVICE

BY ACCESSING THE DAB CONTRACTOR PORTAL, YOU AGREE TO THESE TERMS. This Agreement incorporates by reference the Fund Adventure Portal Terms of Service & Box Ownership Agreement, including its binding arbitration, jury trial waiver, class action waiver, and limitation of liability provisions.


INDEPENDENT CONTRACTOR STATUS: You are an independent contractor of Daily Adventure Box, Inc. — not an employee, agent, partner, joint venturer, or franchisee of DAB, and not an employee, agent, contractor, or representative of the U.S. Government, the Department of Defense, the Department of the Navy, the United States Marine Corps, Marine Corps Community Services (MCCS), or any other federal entity. Nothing in this Agreement creates any such relationship. You have no authority to bind DAB or any government entity, make commitments on their behalf, or represent yourself as an employee or agent of any of them. DAB does not control the manner, method, means, or schedule by which you perform services — only the results to be achieved.


NO GOVERNMENT EMPLOYMENT OR CONTRACTUAL RELATIONSHIP: Your engagement with DAB is exclusively a commercial relationship between you and DAB. You acknowledge that (a) DAB's authorization to operate at U.S. Marine Corps installations arises from a commercial concession-style instrument between DAB and MCCS (Contract No. CLM25-K-0001 and any successor or amended instrument, the "MCCS Contract"); (b) the MCCS Contract is between DAB and MCCS only — you are not a party, beneficiary, subcontractor, or sub-tier supplier under that contract, and you are not entitled to any of the rights, remedies, or compensation it provides; (c) you are not being offered, hired, employed, or compensated by MCCS, the USMC, the DON, the DoD, or the U.S. Government in any capacity; (d) you are not authorized to negotiate, modify, accept, or perform any obligation under the MCCS Contract on DAB's behalf or otherwise; and (e) you will not represent, imply, or hold yourself out to any service member, base official, customer, or third party that you are employed by, contracted to, endorsed by, or affiliated with the USMC, MCCS, or any branch of the U.S. Armed Forces.


BASE-ACCESS PROCESS & CONTRACTOR ELIGIBILITY: Performing services at any U.S. military installation is contingent on (i) DAB's submission of your name, date of birth, and required identifiers to MCCS / Pass & ID; (ii) MCCS issuing a written authorization letter or contractor-access endorsement naming you as a DAB contractor; and (iii) the installation Provost Marshal's Office issuing you the appropriate base credential. You may not perform any work at, attempt to access, or solicit on any U.S. military installation until you receive written confirmation from DAB that all three steps are complete. DAB reserves the sole right to decline to submit a contractor for base access for any reason consistent with the MCCS Contract, applicable law, and DoD/Service-branch security policy. Loss, suspension, or non-issuance of base access automatically suspends this Agreement without liability to DAB.


NO ON-BASE SOLICITATION OF SERVICE MEMBERS: Contractor will not solicit, market, or sell personal goods or services to any active-duty service member, dependent, retiree, DoD civilian, or other authorized patron on any U.S. military installation in violation of DoD Instruction 1344.07, the Joint Ethics Regulation (DoD 5500.07-R), the Hatch Act, or any installation-specific policy. All on-base activity must remain inside the scope of DAB's MCCS-authorized concession; off-roster cash transactions, side jobs, "off-the-books" rentals, and any solicitation outside the DAB Portal are strictly prohibited and grounds for immediate termination.


ACTIVE-DUTY SERVICE MEMBERS — OUTSIDE EMPLOYMENT: If you are an active-duty member of the U.S. Armed Forces, you represent and warrant that (a) you have obtained any required outside-employment authorization from your chain of command consistent with DoDI 1344.07 and your service's outside-employment instructions, (b) your work for DAB does not interfere with your military duties, does not occur during duty hours, does not utilize government time/equipment/uniforms/insignia, and does not create the appearance of federal endorsement, and (c) you will immediately notify DAB and cease performance if your command withdraws authorization or if a conflict-of-interest determination is made. DAB does not provide outside-employment legal advice; obtaining and maintaining authorization is solely your responsibility.


SCOPE OF WORK: Contractor agrees to perform maintenance, repair, inspection, and servicing of DAB rental equipment, kiosks, lock control boards, and associated hardware at designated locations. Contractor will respond to work orders dispatched through the DAB Contractor Portal and complete assigned tasks in a timely and professional manner. Contractor is also responsible for location marketing, brand compliance, and reporting through the Portal.


COMPENSATION: Contractor will be compensated per completed work order at rates established by DAB. Payment will be processed within 14 business days of work order completion and approval. You are solely responsible for all taxes, including income and self-employment tax. DAB may issue IRS Form 1099-NEC as required by law. You are not entitled to any employee benefits, military benefits, federal employee benefits, or workers' compensation through DAB or the U.S. Government.


EQUIPMENT: DAB will ship necessary replacement parts, tools, and equipment to Contractor's address on file. Contractor is responsible for the care and return of any DAB-owned tools or equipment.


INSURANCE & LIABILITY: Contractor represents that they carry insurance coverage adequate for the work performed, which may include (a) personal general liability insurance, (b) employer-provided coverage, or (c) for active-duty service members, the federal protections that apply to them in their personal capacity (including, where applicable, SGLI, TRICARE, and the protections of the Federal Tort Claims Act / Feres doctrine in their military capacity — which expressly do not extend to off-duty contractor work for DAB). Contractor must affirmatively attest to "I have insurance coverage" inside the DAB Contractor Portal. Uploading a certificate of insurance is optional but may be requested by DAB at any time, and is required for any contractor performing work that DAB must name on a third-party certificate. Contractor assumes responsibility for their own safety while performing work at designated locations. Contractor indemnifies, defends, and holds harmless DAB, its officers, directors, employees, and the MCCS / U.S. Government to the extent permitted by law from any claim arising from contractor activities, violation of law, breach of this Agreement, or false attestation regarding insurance.


LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAB SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE CONTRACTOR PORTAL OR CONTRACTOR ACTIVITIES. DAB'S TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL PAYMENTS MADE TO YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.


TERMINATION: Either party may terminate with 14 days written notice. DAB may terminate immediately for material breach, misconduct, negligence, or detrimental conduct. Upon termination, Portal access is revoked and all marketing activities must cease.


DISPUTE RESOLUTION: Binding arbitration under the Federal Arbitration Act in Johnston County, NC. Class action and jury trial waived. GOVERNING LAW: North Carolina, enforceable in all 50 states.

2. NON-COMPETE & NON-SOLICITATION AGREEMENT

Non-Competition: During the term of this Agreement and for a period of 12 months following termination (the "Restricted Period"), Contractor shall not, directly or indirectly, engage in, establish, own, manage, operate, finance, control, advise, render services to, or assist any business that provides automated rental kiosks for beach, pool, or outdoor recreation equipment within a 50-mile radius of any DAB location where Contractor has performed services. This includes automated outdoor equipment kiosks, QR-based outdoor gear rental platforms, self-service equipment rental lockers, and similar concepts.


Non-Solicitation: During the Restricted Period, Contractor shall not solicit, recruit, or encourage any DAB employee, contractor, vendor, customer, or partner to terminate or reduce their relationship with DAB, or use Confidential Information to benefit any competing business.


Consideration: Contractor acknowledges adequate consideration including access to the Contractor Portal, Confidential Information, trade secrets, work order assignments, and compensation.


Nationwide Enforceability: If any court determines the scope is unreasonable, the parties authorize judicial reformation (blue-pencil) to the minimum extent necessary. In states that prohibit non-competes (including CA, MN, ND, OK, CO, OR, WA, IL, and others), the non-competition covenant automatically narrows or becomes inapplicable, but the non-solicitation covenant and confidentiality obligations remain enforceable in all jurisdictions. Each restriction is independent and severable. Breach entitles DAB to injunctive relief without bond.

3. CONFIDENTIALITY AGREEMENT (NDA)

Contractor acknowledges that during the course of performing services for DAB, they will have access to confidential and proprietary information ("Confidential Information") including but not limited to:


- Technical specifications of lock control boards, firmware, hardware systems, and IoT architecture
- Business strategies, pricing models, partner agreements, and revenue data
- Customer data, location data, operational metrics, and rental analytics
- Software systems, APIs, portal architecture, and source code
- Vendor relationships, supply chain details, and manufacturing processes
- Work order details, contractor compensation rates, and internal communications


Obligations: Contractor agrees to hold all Confidential Information in strict confidence and not disclose, publish, or otherwise reveal any Confidential Information to any third party during or after the term of their engagement with DAB. Contractor shall use Confidential Information solely for performing authorized services.


Duration: Confidentiality obligations survive termination of this Agreement indefinitely for trade secrets and for two (2) years for all other Confidential Information.


Remedies: Violation of this NDA may result in immediate termination, legal action including injunctive relief and damages, and forfeiture of pending compensation. DAB is entitled to injunctive relief without bond.
