Non-Disclosure Agreement (NDA)

This Non-Disclosure Agreement is entered into between Daily Adventure Box, Inc., a North Carolina corporation ("DAB"), and the signing party ("DAB Owner"). "Confidential Information" means all non-public information disclosed by DAB or accessed through the Fund Adventure Portal, including but not limited to: business operations, revenue data, financial information, customer and renter data, vendor relationships, proprietary technology and systems, meeting content, strategic discussions, internal communications, pricing structures, marketing strategies, and trade secrets — whether disclosed orally, in writing, or electronically. Confidential Information does not include information that: (i) is or becomes publicly available through no breach by you; (ii) you independently develop without use of Confidential Information; (iii) you lawfully receive from a third party without restriction; or (iv) is required to be disclosed by law, provided you give DAB prompt written notice. You shall: hold all Confidential Information in strict confidence; not disclose to any third party without DAB's prior written consent; use only for purposes related to your participation in Fund Adventure; and use at least reasonable care to protect it. You shall not take screenshots, recordings, or copies of Portal data except as necessary for authorized marketing activities, and shall not share login credentials or access tokens. Confidentiality obligations survive for the duration of your ownership and for 3 years thereafter, except that trade secret obligations survive indefinitely under the Defend Trade Secrets Act (18 U.S.C. §1836). Unauthorized disclosure entitles DAB to injunctive relief without bond, in addition to all other remedies.

MARKETING SAFE HARBOR (v2.0 Update): Notwithstanding the above, Owners and Contractors are expressly permitted — without prior written consent — to share the following in personal social media, conversations, and marketing efforts: (a) location names and general descriptions (e.g., "I own a DAB box at Onslow Beach"); (b) equipment types and photos of equipment in boxes; (c) the terms "DAB box owner," "DAB Micro-Owner," or "DAB contractor"; (d) general descriptions of the rental experience; (e) tagging @dailyadventurebox on social media. The following remain strictly confidential: revenue amounts, rental counts, financial projections, buyback timelines, Portal analytics/dashboards, customer personal information, pricing structures not publicly listed, DAB meeting content, internal communications, and source code. Use of DAB logos or trademarks beyond social media tags requires DAB's pre-approval via the Contractor Portal. When in doubt, contact DAB before sharing.

Non-Compete & Non-Solicitation Agreement

Non-Competition: During the term of your ownership and for 2 years following termination (the "Restricted Period"), you shall not, directly or indirectly, engage in, establish, own, manage, operate, finance, control, advise, render services to, or assist any business that directly competes with DAB's outdoor equipment rental box model within a 50-mile radius of any active DAB installation. This includes automated outdoor equipment kiosks, QR-based outdoor gear rental platforms, self-service equipment rental lockers, and similar concepts. This restriction applies individually and through any affiliated entities. Non-Solicitation: During the Restricted Period, you shall not solicit, recruit, or encourage any DAB employee, contractor, vendor, customer, or Owner to terminate or reduce their relationship with DAB, or use Confidential Information to benefit any competing business. Consideration: You acknowledge adequate consideration including access to the Portal, Confidential Information, trade secrets, and the Buyback arrangement. Nationwide Enforceability: If any court determines the scope is unreasonable, the parties authorize judicial reformation (blue-pencil) to the minimum extent necessary. In states that prohibit non-competes (including CA, MN, ND, OK, CO, OR, WA, IL, and others), the non-competition covenant automatically narrows or becomes inapplicable, but the non-solicitation covenant and confidentiality obligations remain enforceable in all jurisdictions. Each restriction is independent and severable. Breach entitles DAB to injunctive relief without bond.

SECURITIES DISCLAIMER: The DAB Micro-Owner program is a business participation opportunity. You are purchasing a box position (operating rights) — not physical equipment, equity, shares, or any ownership interest in Daily Adventure Box, Inc. DAB retains ownership of all physical equipment and infrastructure. This is NOT a security, investment contract, franchise, stock, bond, or passive investment product under the Securities Act of 1933, the Securities Exchange Act of 1934, the FTC Franchise Rule, or any state securities or franchise law. All activity figures and buyback timelines are ESTIMATES ONLY and are NOT GUARANTEED. Past or projected performance does not guarantee future results. INDEPENDENT CONTRACTOR: As a DAB Micro-Owner, you are an independent contractor — not an employee, agent, partner, or franchisee of DAB. You are responsible for marketing your location(s). DAB does not control your methods, only results and brand compliance. You are solely responsible for all taxes (income, self-employment). DAB may issue Form 1099-NEC. You are not entitled to employee benefits. BOX POSITION PURCHASE: (a) Prices vary by box size ($299–$699); payments processed by Stripe (PCI DSS Level 1 compliant); (b) A flat non-refundable Platform & Processing Fee of $14.99 applies per transaction; (c) Funds allocated to equipment manufacturing, procurement, and deployment at your location; (d) You do not own the physical equipment — DAB retains ownership and maintains all gear. BUYBACK: When your location reaches its Revenue Threshold, DAB may exercise its Buyback option at up to 125% of your original purchase price as defined in your agreement. Buyback is at DAB's discretion and NOT GUARANTEED. Timeline is variable — depends on your marketing efforts, traffic, seasonality, and other factors. REFUND POLICY: You have 24 HOURS from purchase to request a full refund. After 24 hours, ALL PURCHASES ARE FINAL. Post-grace requests at DAB's sole discretion. DAB'S RIGHTS: DAB retains full operational control — may rotate, modify, upgrade, or relocate equipment to optimize performance. LIMITATION OF LIABILITY: DAB's total liability shall not exceed the amount you paid for box position purchases. No liability for indirect, consequential, or punitive damages. DISPUTE RESOLUTION: Binding arbitration under the Federal Arbitration Act in Johnston County, NC. Class action and jury trial waived. GOVERNING LAW: North Carolina, enforceable in all 50 states.
